Welcome to Edge Business Partners (“Edge Business Partners,” “Edge,” “we,” “us,” or “our”). These Terms of Use (“Terms”) govern your access to and use of our website, applications, software, technology platforms, products, professional services, consulting services, development services, integrations, and other offerings (collectively, the “Services”).
By accessing or using any of our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not access or use the Services.
1. Use of Our Services
You may use the Services only for lawful purposes and in accordance with these Terms and any applicable agreement governing a particular Service.
You agree not to:
- Use the Services in violation of any applicable law, regulation, or legal obligation.
- Attempt to gain unauthorized access to any portion of the Services, systems, networks, accounts, or data.

- Use automated systems, bots, scraping tools, or similar methods to access or collect information from the Services in a manner that could damage, disrupt, or place an unreasonable burden on our systems.
- Use the Services to infringe, violate, or misappropriate the rights of another person or organization.
- Attempt to circumvent security measures, access controls, usage limitations, or other safeguards associated with the Services.
We may suspend or terminate access to the Services if we reasonably believe that these Terms have been violated or that such action is necessary to protect the Services, our users, our business, or others.
2. Applications, Software, Products, and Services
Edge Business Partners may provide or make available a broad range of technology products and services, including software, applications, artificial intelligence technologies, communications and networking technologies, cybersecurity solutions, development services, integrations, implementation services, consulting, strategy, customization, and other technology solutions.
The specific features, functionality, availability, pricing, and terms applicable to a particular Service may vary.
Certain Services may be provided by, through, or in cooperation with third-party technology providers, vendors, manufacturers, developers, partners, or service providers.
Your use of a particular Service may be subject to additional terms, license agreements, usage requirements, service agreements, statements of work, order forms, or other conditions.
Those additional terms are incorporated into these Terms where applicable.
If there is a conflict between these Terms and a separate written agreement governing a particular Service, the separate written agreement will control with respect to that Service.
3. Accounts and Authorized Users
Certain Services may require you to create an account or provide information in order to access particular features.
You are responsible for:
- Providing accurate and current information where required.
- Maintaining the confidentiality of your account credentials.
- Maintaining appropriate security for devices and systems used to access your account.
- All activity occurring through your account, to the extent permitted by applicable law.
If you provide access to a Service to employees, contractors, representatives, or other authorized users, you are responsible for ensuring that those users comply with these Terms and any applicable service-specific terms.
You agree to notify us promptly if you believe your account or credentials have been compromised or used without authorization.
4. Intellectual Property
The Services and their contents, including without limitation text, graphics, designs, logos, trademarks, service marks, software, code, interfaces, images, videos, audio, documentation, methodologies, processes, and other materials, are owned by or licensed to Edge Business Partners and are protected by applicable intellectual property laws.
Except as expressly permitted by these Terms or a separate written agreement with Edge Business Partners, you may not reproduce, modify, distribute, publicly display, publicly perform, create derivative works from, sell, license, or otherwise exploit any portion of the Services or their content.
Nothing in these Terms grants you ownership of any intellectual property belonging to Edge Business Partners or its licensors.
The Edge Business Partners name, trademarks, logos, and related branding may not be used without our prior written permission.
5. Customer Content and Information
Certain Services may allow you to submit, upload, transmit, provide, or otherwise make available information, data, documents, materials, software, or other content (“Customer Content”).
You retain ownership of your Customer Content, subject to any rights expressly granted to Edge Business Partners under these Terms or a separate agreement governing a particular Service.
You represent and warrant that you have all rights, permissions, and authorizations necessary to provide Customer Content through the Services and that doing so does not violate applicable law or the rights of any third party.
You grant Edge Business Partners the rights reasonably necessary to host, process, transmit, store, display, and otherwise use Customer Content as necessary to provide, maintain, secure, support, and improve the applicable Services, subject to any separate agreement governing those Services.

6. Artificial Intelligence and Automated Technologies
Some Services may incorporate artificial intelligence, machine learning, automation, analytics, decision-support technologies, or other automated systems.
AI-generated or automated outputs may be probabilistic, incomplete, inaccurate, or unsuitable for a particular purpose.
You are responsible for reviewing and validating outputs before relying upon them, particularly where decisions may have significant business, financial, legal, operational, security, or other consequences.
Unless expressly agreed otherwise in writing, AI-enabled and automated Services are intended to assist users and organizations and should not be treated as a substitute for appropriate human judgment, professional advice, or independent verification.
7. Third-Party Products, Services, and Partners
Edge Business Partners may offer, resell, integrate, implement, customize, or otherwise provide access to products and services supplied by third parties.
Third-party products and services may be subject to the terms, warranties, licenses, policies, and limitations of the applicable third-party provider.
Where applicable, your relationship with a third-party provider may be governed by that provider’s separate terms.
Edge Business Partners does not necessarily manufacture, own, operate, or control every product, application, platform, or service that may be offered through our Services.
Where a third party is responsible for a particular product or service, the applicable third-party terms may govern that portion of your relationship.
8. Professional, Consulting, Development, and Implementation Services
Edge Business Partners may provide consulting, strategy, development, customization, implementation, integration, project management, or other professional services.
The scope, deliverables, responsibilities, fees, timelines, acceptance criteria, intellectual property rights, warranties, and other terms applicable to those services may be established in a separate proposal, statement of work, order form, master services agreement, or other written agreement.
Where such an agreement exists, it will control over these Terms to the extent of any conflict.
Nothing on the website itself constitutes a guarantee that a particular product, service, solution, implementation, or outcome will be suitable for your particular business or circumstances.
9. No Professional or Specialized Advice
Information provided through the Services is provided for general informational and business purposes unless expressly stated otherwise.
The Services are not intended to provide legal, accounting, financial, medical, or other professional advice.
Technology recommendations, assessments, strategies, demonstrations, examples, or other information provided through the Services should be evaluated in the context of your particular requirements.
You should obtain appropriate professional advice when circumstances require it.
10. Third-Party Websites and Links
The Services may contain links to third-party websites, applications, products, services, or resources.
Third-party services are not controlled by Edge Business Partners, and we are not responsible for their availability, content, security, policies, practices, or performance.
Your use of third-party services may be subject to the third party’s own terms and policies.
The inclusion of a link, integration, or reference does not necessarily constitute an endorsement, sponsorship, or recommendation by Edge Partners.
11. Service Availability and Changes
We may modify, update, suspend, discontinue, or restrict access to all or part of the Services at any time.
We do not guarantee that the Services will always be available, uninterrupted, secure, error-free, or compatible with every device, browser, operating system, application, or third-party service.
We may perform maintenance, upgrades, security updates, or other changes that temporarily affect availability.
Where a particular Service is governed by a separate written agreement containing service-level commitments, those commitments will control over this general provision.
12. Fees and Paid Services
Certain Services may require payment of fees.
Pricing, billing terms, subscription periods, renewal terms, cancellation provisions, refunds, and other payment conditions may be provided separately for the applicable Service.
Where you purchase a Service, the terms presented at the time of purchase or contained in a separate agreement may supplement or replace portions of these Terms.
You are responsible for providing accurate billing information and paying applicable fees when due.
Unless otherwise stated, fees are non-refundable except where required by law or expressly provided in the applicable service terms.
13. Confidentiality
Information exchanged in connection with a particular business relationship may be subject to a separate confidentiality agreement, master services agreement, statement of work, or other written agreement.
Nothing in these Terms is intended to replace or override a separately executed confidentiality agreement or contractual confidentiality obligation.
You should not submit confidential or proprietary information through a publicly accessible portion of the website unless the applicable Service expressly provides for such information.
14. Security
You are responsible for maintaining appropriate security for systems, accounts, credentials, devices, applications, and networks under your control that are used to access the Services.
You agree not to attempt to bypass or compromise security controls associated with the Services.
Although Edge Business Partners takes reasonable measures designed to protect its Services and systems, no technology system or method of electronic transmission can be guaranteed to be completely secure.
15. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
EDGE BUSINESS PARTNERS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, PRODUCE PARTICULAR RESULTS, OPERATE WITHOUT INTERRUPTION, BE ERROR-FREE, OR BE COMPLETELY SECURE.
TO THE EXTENT PERMITTED BY LAW, YOU ASSUME RESPONSIBILITY FOR YOUR USE OF THE SERVICES AND FOR ANY DECISIONS OR ACTIONS TAKEN BASED ON INFORMATION, RECOMMENDATIONS, OR OUTPUTS PROVIDED THROUGH THE SERVICES.
Some jurisdictions do not allow certain warranty exclusions, so some of the above limitations may not apply to you.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EDGE BUSINESS PARTNERS AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITY, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EDGE BUSINESS PARTNERS’ TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO EDGE BUSINESS PARTNERS FOR THE PARTICULAR SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100), EXCEPT TO THE EXTENT THAT SUCH LIMITATION IS PROHIBITED BY APPLICABLE LAW.
These limitations apply to the fullest extent permitted by law, regardless of the legal theory on which a claim is based.
17. Indemnification
To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Edge Business Partners and its owners, officers, directors, employees, contractors, affiliates, licensors, and service providers from and against claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:
- Your violation of these Terms.
- Your misuse of the Services.
- Your Customer Content.
- Your violation of applicable law or the rights of another person or organization.
- Your use of the Services in a manner not authorized by Edge Business Partners.
18. Termination
You may stop using the Services at any time.
We may suspend or terminate your access to the Services, in whole or in part, if we reasonably determine that you have violated these Terms, applicable law, or other applicable service terms, or when reasonably necessary to protect the Services, our users, or our business.
Upon termination, provisions that by their nature should survive termination will continue to apply, including provisions concerning intellectual property, confidentiality, disclaimers, limitations of liability, indemnification, governing law, and dispute resolution.
19. Governing Law
These Terms will be governed by and interpreted in accordance with the laws of the State of Florida, without regard to its conflict-of-law principles.
Any dispute arising out of or relating to these Terms or the Services will be subject to the jurisdiction and venue of the state and federal courts located in Hillsborough County, Florida, unless otherwise required by applicable law or agreed to in a separate written agreement.
20. Changes to These Terms
We may update these Terms from time to time.
When we make changes, we will update the “Effective Date” at the beginning of these Terms. We may also provide additional notice where required by law or where we determine that a change is material.
Your continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms, to the extent permitted by law.
21. Severability
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will remain in full force and effect.
22. Entire Agreement
These Terms, together with any applicable additional terms, agreements, policies, or documents expressly incorporated by reference, constitute the agreement between you and Edge Business Partners regarding your use of the Services.
These Terms do not replace any separate written agreement between you and Edge Business Partners governing a particular product, service, project, subscription, or business relationship.
If there is a conflict between these Terms and a separate written agreement, the separate written agreement will control for the subject matter covered by that agreement.
23. No Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision or any other provision in the future.
24. Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
Edge Business Partners may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, reorganization, sale of assets, or similar transaction, or as otherwise permitted by law.
